Scaleasy Ltd Terms Of Use

These Terms of Service (“Terms”) govern the purchase and use of Scaleasy Ltd’s LinkedIn lead generation and related services (“Services”).

By ticking the checkbox confirming you agree to these Terms, or by purchasing a subscription via Stripe, you (“Client”, “you”) enter into a legally binding agreement with Scaleasy Ltd (“Scaleasy”, “we”, “us”).

If you are entering into these Terms on behalf of a company, you confirm you have authority to bind that company.

2) Services and subscription plans

We provide LinkedIn lead generation services which may include outreach, messaging, targeting, profile optimisation, reporting/dashboard access, inbox management, strategy calls and content ghostwriting, depending on the plan you purchase.

2.1 Plans

We offer three subscription tiers:

Essential

Core

Momentum

The features included in your plan are those displayed on our website, Stripe checkout page, or in written confirmation we provide at the time you subscribe (“Plan Inclusions”). If there is a conflict, the most recent written confirmation from us will apply.

2.2 Best-efforts service (no guaranteed results)

We will use reasonable care and skill to deliver the Services. However, lead generation performance depends on factors outside our control (including your offer, market conditions, prospect behaviour, LinkedIn policy changes, and account health).

We do not guarantee any specific number of leads, replies, meetings, revenue, or sales.


3) Seats and “per user” pricing

3.1 Per user / per seat

Subscriptions are priced per user/seat (typically per LinkedIn profile/account being operated). Where your subscription allows multiple seats, each seat is billed at the applicable rate shown at checkout.

3.2 Adding/removing seats

You may add or remove seats via the relevant subscription links provided by us/Stripe. Seat changes:

- Take effect from the billing dates and prorations shown in Stripe (where applicable), and

- may change your total subscription amount.

Removing a seat reduces scope accordingly for that seat from the effective date of removal.


4) Access to LinkedIn accounts (login details)

4.1 Credentials required

To perform the Services, you agree to provide login credentials for the LinkedIn account(s) we manage. You confirm you have the legal right to grant us access to those accounts.

4.2 Authorisation

You authorise Scaleasy to access and operate your LinkedIn account(s) solely for the purpose of delivering the Services under these Terms.

4.3 Security and responsibility

You remain responsible for:

- maintaining account ownership and recovery access,

- ensuring you are permitted to share credentials within your organisation, and

- notifying us promptly if you suspect unauthorised access.

We will take reasonable steps to keep credentials secure and restrict internal access to those who need it to deliver Services. (We recommend you enable 2FA on your accounts. If 2FA prompts occur, you agree to support timely access so services can continue.)


5) Onboarding, approvals and client cooperation

5.1 Onboarding

After purchase, you will complete onboarding and provide information needed to deliver Services. We may provide an onboarding document covering targeting, messaging approach, profile changes, and operating expectations.

5.2 Approvals and delays

Where approval is required (e.g., profile changes or messaging framework), you agree to respond promptly. Delays in approvals, access, or required inputs may delay delivery and outcomes.

5.3 No credits for client delays

If work is delayed due to your failure to provide access, approvals, information, or cooperation, we are not obliged to refund, discount or provide service credits for that time. Fees remain payable.


6) Outreach volumes and LinkedIn limits

6.1 Typical outreach levels

For a “healthy” LinkedIn account, standard practice is approximately up to 30 connection requests per day, Monday to Friday.

6.2 Throttling and variability

You acknowledge LinkedIn may:

- reduce weekly/daily connection limits,

- temporarily restrict activity,

- limit reach or messaging,

- require verification or other actions,

due to variables outside our control. We will adjust activity using best practices, but we do not guarantee that the typical outreach level will be achievable at all times.


7) LinkedIn platform risks (restriction / suspension)

You acknowledge there is an inherent risk that LinkedIn may restrict or suspend accounts used for lead generation activities.

We apply best practices to reduce risk but cannot guarantee restrictions will not occur.

To the fullest extent permitted by law, you agree to hold Scaleasy harmless for LinkedIn restrictions, suspensions, loss of access, reduced reach, throttling, or platform enforcement actions, except to the extent caused by our fraud or deliberate misconduct.


8) Fees, billing, and payment

8.1 Subscription billing

Subscriptions are billed via Stripe in advance on a recurring basis (monthly or quarterly depending on your selection).

8.2 Failed payments

If payment fails, Stripe may retry. We may pause Services until payment is received. Repeated failed payments may result in cancellation.

8.3 No refunds

All fees are non-refundable except where required by law or in the case of a clear billing error (e.g., duplicate charge).


9) Cancellation (14-day notice)

9.1 How to cancel

You may cancel by emailing [email protected] with subject: “Cancellation Request - [Company Name]”

9.2 Notice period

A minimum of 14 days’ notice is required. Cancellation becomes effective at the end of the next applicable billing cycle that satisfies the 14-day notice requirement.

9.3 Fees during notice

Fees remain payable during the notice period and until cancellation takes effect.


10) Intellectual property

10.1 Your materials

You retain ownership of your brand assets and accounts. You grant us a licence to use them solely to deliver Services.

10.2 Our materials

We retain ownership of our systems, frameworks, templates, dashboards, and know-how. You may use outputs created for you internally, but you may not resell or redistribute our proprietary materials.


11) Confidentiality

Both parties will keep confidential information confidential and only use it to perform obligations under these Terms, unless required by law.


12) Data protection

Where we process personal data on your behalf (e.g., lead lists, CRM entries, inbox handling), both parties agree to comply with applicable UK data protection laws (including UK GDPR where applicable). If you require a Data Processing Addendum (DPA), request one via [email protected].


13) Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be limited.

Subject to the above:

- We are not liable for indirect or consequential loss (including loss of profit, revenue, goodwill, or anticipated savings).

- Our total aggregate liability is limited to the total fees paid by you to us in the 3 months preceding the event giving rise to the claim.


14) No legal/financial/compliance advice

We do not provide legal, financial, or regulatory advice. You are responsible for ensuring your offer and claims comply with applicable laws and regulations.


15) Force majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including platform changes, outages, verification requests, supplier failures, and internet disruptions.


16) Changes to these Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you. Continued use of Services after the effective date constitutes acceptance of the updated Terms.


17) Entire agreement

These Terms, together with the Plan Inclusions and any written variations agreed by both parties, constitute the entire agreement and supersede prior discussions.


18) Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
